Terms of Service

1. Introduction and Acceptance

Welcome to Flowstone. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and The Nest Investment Group LLC ("we," "us," or "our"), governing your access to and use of the Flowstone mobile and web application, including all related services, features, and content (collectively, the "Service").

By downloading, installing, accessing, or using Flowstone, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Effective Date" above and, where appropriate, by sending you a notification through the Service or via email. Your continued use of the Service after such notice constitutes your acceptance of the revised Terms.

2. Eligibility and Age Requirements

Flowstone is intended for users of all ages. However, certain features and content may be restricted based on age. Please read the following carefully:

2.1 General Users

If you are 18 years of age or older, you may access and use the Service independently, subject to these Terms.

2.2 Users Between 13 and 17 Years of Age

If you are between 13 and 17 years of age, you may use the Service only with the verifiable consent of a parent or legal guardian. By allowing a minor to use the Service, the parent or guardian agrees to be bound by these Terms on the minor's behalf and accepts full responsibility for the minor's use of the Service.

2.3 Children Under 13 — COPPA Compliance

Flowstone takes the privacy and safety of children seriously. We comply with the Children's Online Privacy Protection Act (COPPA) and applicable international regulations. If you are under 13 years of age (or the applicable minimum age in your jurisdiction):

You may only use Flowstone with verified parental consent obtained through our in-app parental consent process.
We do not knowingly collect personal information from children under 13 without verifiable parental consent.
Parents or guardians may review, request deletion of, or refuse further collection of their child's personal information by contacting us at inquiry@thenestinvestmentgroup.com.
If we discover that we have inadvertently collected personal information from a child under 13 without parental consent, we will promptly delete such information.

If you believe we have collected information from a child under 13 without appropriate consent, please contact us immediately at inquiry@thenestinvestmentgroup.com.

2.4 Parental Controls

Parents and guardians are encouraged to use the parental control features available within the Service to monitor and manage their child's activity, restrict access to certain content, and set usage limits. Flowstone is not a substitute for parental supervision.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information to keep it accurate and current.
Maintain the confidentiality of your account credentials and not share your password with any third party.
Accept responsibility for all activities that occur under your account.
Notify us immediately at inquiry@thenestinvestmentgroup.com if you suspect any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to the security of the Service or other users.

4. Subscription Plans and Billing

Flowstone offers both free and premium subscription tiers. The following terms apply to paid subscriptions:

4.1 Available Plans

We currently offer the following paid subscription options:

Monthly Plan: A recurring subscription billed once every calendar month, providing access to premium features for that billing period.
Annual Plan: A recurring subscription billed once every twelve (12) months. The annual plan is offered at a discounted rate compared to the monthly plan and provides access to the same premium features for the full year.

Pricing for each plan is displayed in the Service at the time of purchase and may vary by region or promotional period. All prices are inclusive of applicable taxes unless otherwise stated.

4.2 Billing and Payment

By subscribing to a paid plan, you authorize us (or our third-party payment processor) to charge your designated payment method on a recurring basis at the start of each billing cycle.
Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled prior to renewal.
You are responsible for ensuring your payment information is accurate and up to date. Failed payments may result in suspension of access to premium features.
All payments are non-refundable except as expressly set out in Section 4.4 or as required by applicable law.

4.3 Cancellation Policy

You may cancel your subscription at any time through the account settings in the app or by contacting our support team at inquiry@thenestinvestmentgroup.com. Please note the following important terms regarding cancellation:

Upon cancellation, your subscription will remain active and you will continue to have full access to all premium features until the end of your current paid billing cycle.
No partial refunds will be issued for unused portions of a billing period. For example, if you cancel a monthly subscription on day 10 of a 30-day cycle, you will retain access through day 30 and will not be charged for the following month.
If you cancel an annual subscription, access will continue through the end of the annual period already paid for, and the subscription will not renew at the next annual billing date.
Cancellation takes effect at the end of the current billing period. You will receive a confirmation notification when your cancellation is processed.

To avoid being charged for the next billing cycle, you must cancel your subscription at least 24 hours before your renewal date.

4.4 Refunds

Except as required by applicable law, all subscription fees are non-refundable. In exceptional circumstances (such as technical errors resulting in duplicate charges), refund requests may be submitted to inquiry@thenestinvestmentgroup.com and will be evaluated on a case-by-case basis.

4.5 Free Trials

From time to time, we may offer free trial periods for paid subscription plans. At the conclusion of a free trial, your payment method will be charged the applicable subscription fee unless you cancel before the trial period ends. Trial eligibility is determined at our sole discretion and may be limited to one trial per user or household.

4.6 Price Changes

We reserve the right to change our subscription pricing. If we change the price of your current plan, we will provide you with at least 30 days' advance notice via email or in-app notification. Price changes will take effect at the start of the next billing cycle following the notice period. Your continued subscription after the price change constitutes acceptance of the new price.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Use the Service in any way that violates any applicable local, national, or international law or regulation.
Upload, post, transmit, or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
Upload or transmit content that is harmful to minors or that exploits children in any way.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any related systems or networks.
Introduce viruses, trojans, worms, or other malicious code into the Service.
Use automated scripts, bots, or other tools to access or scrape the Service without our express written permission.
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm us or other users.

6. Intellectual Property

The Service and its entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof — are owned by us, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material in the Service except as permitted by these Terms.

7. User-Generated Content

If you submit, upload, or share any content through the Service ("User Content"), you represent and warrant that:

You own or have the necessary rights to use and authorize us to use your User Content as described in these Terms.
Your User Content does not violate the rights of any third party, including intellectual property rights or privacy rights.
Your User Content does not contain material that is unlawful, obscene, or harmful to minors.

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and display your User Content in connection with operating and improving the Service. We are not responsible for User Content submitted by other users.

8. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, disclose, and safeguard your information when you use the Service. By using the Service, you consent to our data practices as described in our Privacy Policy.

For users in the European Economic Area (EEA) or the United Kingdom, we process your personal data in accordance with the General Data Protection Regulation (GDPR) and applicable local data protection laws. For California residents, we comply with the California Consumer Privacy Act (CCPA).

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

In no event shall our total liability to you for all claims arising out of or relating to the Service exceed the greater of (a) the amount you paid to us in the twelve (12) months prior to the event giving rise to the claim, or (b) one hundred US dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless The Nest Investment Group LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us at inquiry@thenestinvestmentgroup.com. Termination of your account does not entitle you to any refund of prepaid subscription fees, except as provided in Section 4.4 or as required by applicable law.

Provisions of these Terms that by their nature should survive termination — including Sections 6, 9, 10, 13, and 14 — shall survive termination.

12. Third-Party Links and Services

The Service may contain links to third-party websites, services, or content that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. We encourage you to review the terms and privacy policies of any third-party services you access through the Service.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Knox County, Tennessee, and you and we consent to the personal jurisdiction of those courts.

If you live in a jurisdiction whose law gives you stronger consumer rights (for example, the EU or UK), nothing in this Section limits the rights you have under that law.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

15. App Store Terms

If you downloaded the app from the Apple App Store or Google Play, the following applies in addition to these Terms:

These Terms are between you and us, not between you and Apple or Google.
We, not Apple or Google, are responsible for the Service and its content.
You may use the app only on a device that you own or control and as permitted by the App Store Terms of Service or the Google Play Terms of Service.
Apple and Google have no obligation to provide maintenance or support for the Service.
You represent that you are not located in a country subject to a U.S. government embargo, and you are not on any U.S. government list of prohibited or restricted parties.
Apple and its subsidiaries are third-party beneficiaries of these Terms (for the App Store version) and may enforce them against you.
